These Terms & Conditions (“Terms”) govern your access to and use of the website wkeylabs.comand any related content, materials, and services (collectively, the “Site”) provided by Wkey Labs Private Limited(“Wkey Labs”, “we”, “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Site.

2. The Site is informational

The Site is provided for general information about Wkey Labs and our services. Content on the Site does not constitute professional, legal, financial, or technical advice, and is not an offer to enter into a contract. Engagements are governed by a separate, mutually executed agreement.

3. Acceptable use

You agree not to:

  • Use the Site in any way that violates applicable law or regulation.
  • Attempt to gain unauthorized access to the Site, accounts, systems, or networks.
  • Probe, scan, or test the vulnerability of the Site without prior written consent.
  • Interfere with the proper working of the Site (e.g., DoS attempts, malware, scraping at abusive rates).
  • Use the Site to train AI/ML models without our prior written permission.
  • Misrepresent your identity, impersonate any person, or submit false information.

4. Intellectual property

The Site, including all text, graphics, logos, code, designs, case studies, and other materials, is owned by Wkey Labs or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Site for personal, non-commercial purposes only. All other rights are reserved.

“Wkey Labs”, the Wkey Labs wordmark and logo are trademarks of Wkey Labs Private Limited. Third-party names and marks are the property of their respective owners.

5. Submissions & feedback

If you send us ideas, suggestions, or feedback (“Submissions”), you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable licence to use, reproduce, modify, and otherwise exploit the Submissions for any purpose without obligation or compensation to you. Do not send us confidential information you do not wish to be treated this way.

6. Third-party links and services

The Site may contain links to third-party sites and may integrate third-party services (including Meta and Google products). We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is subject to their terms.

7. Disclaimer of warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WKEY LABS, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED US DOLLARS (US$100) OR THE EQUIVALENT IN INDIAN RUPEES.

9. Indemnity

You agree to indemnify and hold harmless Wkey Labs and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site.

10. Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated by reference.

11. Changes to the Site or Terms

We may modify or discontinue the Site at any time without notice. We may also update these Terms; the “Effective” date above will reflect the latest version. Continued use of the Site after changes constitutes acceptance of the updated Terms.

12. Governing law & jurisdiction

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. The courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer protection laws of your place of residence.

13. Severability & entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Wkey Labs regarding the Site.
